Terms of Service

These Terms of Service ("Terms") govern your access to and use of the vending management platform at https://saas.brain4tech.ro and the website at https://brain4tech.ro (together, the "Service"), provided by PIELEANU GEORGE PERSOANĂ FIZICĂ AUTORIZATĂ ("brain4tech", "we", "us" or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

brain4tech provides a multi-tenant software platform for managing vending operations, including machines, routes, stock, sales, approvals and related workflows. The specific features available to you may depend on your subscription or the agreement between us and your organisation.

2. Accounts and eligibility

The Service is intended for business use by persons aged 18 or over. Accounts are created by us or by your organisation's administrators. You are responsible for keeping your login credentials confidential, for enabling multi-factor authentication where offered, and for all activity that occurs under your account. Notify us immediately of any unauthorised use.

3. Acceptable use

You agree not to:

• use the Service in breach of any applicable law or third-party rights;
• attempt to gain unauthorised access to the Service, to other tenants' data, or to related systems;
• interfere with or disrupt the integrity or performance of the Service;
• reverse engineer, copy or create derivative works of the Service except as permitted by law;
• upload malicious code or unlawful, infringing or offensive content.

4. Customer data and ownership

You and your organisation retain all rights to the data you submit to the Service ("Customer Data"). You grant us a limited licence to host and process Customer Data solely to provide and support the Service. Our processing of any personal data contained in Customer Data is described in our Privacy Policy. You are responsible for the lawfulness of the Customer Data you provide.

5. Intellectual property

The Service, including its software, design and content (excluding Customer Data), is owned by brain4tech or its licensors and is protected by intellectual property laws. These Terms do not transfer to you any ownership rights in the Service.

6. Service availability

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates or changes, and may suspend access where necessary to protect the security or integrity of the Service. Any service levels apply only where expressly agreed in writing.

7. Fees

Where the Service is provided on a paid basis, fees, billing and payment terms are set out in the applicable order or agreement between us and your organisation. Unless stated otherwise, fees are exclusive of VAT and other applicable taxes.

8. Confidentiality

Each party shall protect the other's non-public information disclosed in connection with the Service and use it only for the purposes of the Service, except where disclosure is required by law.

9. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, brain4tech shall not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue or data. Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

11. Suspension and termination

We may suspend or terminate access if you materially breach these Terms or where necessary to protect the Service or comply with law. You or your organisation may stop using the Service at any time in accordance with your agreement with us. On termination, your right to use the Service ceases; provisions that by their nature should survive will survive.

12. Changes to these Terms

We may update these Terms from time to time. The current version is indicated by the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law and jurisdiction

These Terms are governed by the laws of Romania. The courts competent for the registered office of PIELEANU GEORGE PERSOANĂ FIZICĂ AUTORIZATĂ shall have jurisdiction over any dispute, without prejudice to any mandatory consumer-protection rules that may apply.
